Terms of Service

Conceivr is a marketplace platform operated by Conceivr Limited, a company incorporated in Nigeria under the Companies and Allied Matters Act 2020 (RC Number: 9486345, registered address: No. 22 Otunba Alaba Williams Street, Alimosho, Lagos, Nigeria).

Conceivr connects founders and early-stage entrepreneurs with expert advisors for paid 1:1 advisory sessions and structured mentorship. Conceivr also operates an open live-webinar platform where any registered user may host a public session. Conceivr provides the infrastructure — booking, scheduling, video rooms, payments, and communication tools — but does not itself provide advisory, legal, financial, investment, or business consulting services.

Experts on Conceivr are independent advisors, not employees or agents of Conceivr. Any advice, guidance, or information provided during sessions is the responsibility of the individual expert, not Conceivr.

Conceivr is intended for users who are at least 18 years old. By creating an account, you confirm that you are 18 years of age or older, that the information you provide is accurate and complete, and that you have the legal capacity to enter into a binding agreement. You are responsible for all activity that occurs under your account.

Conceivr reserves the right to suspend or permanently terminate accounts that: provide false or misleading information; violate these Terms; engage in abusive, harassing, or fraudulent behavior toward other users or experts; attempt to circumvent platform fees or communicate with experts outside the platform to avoid payment; or otherwise damage the Conceivr community.

Expert accounts (for 1:1 advisory sessions) are subject to an additional vetting and approval process. Approval is at Conceivr's sole discretion and may be revoked at any time. Hosting a webinar on Conceivr does not require expert status — any registered user may create and publish a live session.

Sessions are booked through the Conceivr platform. When you book a session, you agree to attend at the scheduled time. Sessions may be for 30, 45, or 60 minutes depending on the expert's available options.

Founder cancellations: You may cancel a session up to 24 hours before the scheduled start time for a full refund. Cancellations made less than 24 hours before the session are non-refundable. No-shows are non-refundable.

Expert cancellations: If an expert cancels a confirmed session, you will receive a full refund. Repeated expert cancellations may result in the expert's account being suspended.

Reschedules: Both parties may agree to reschedule a session with at least 12 hours notice. Reschedules must be arranged through the platform.

Payments are processed through Flutterwave, a licensed payment processor operating across Africa. By initiating a payment, you agree to Flutterwave's terms and payment processing conditions. Conceivr does not store your card or bank account details.

Escrow model: When you pay for a session, funds are held in escrow and not released to the expert until the session is completed. After the session, you have 24 hours to raise a dispute. If no dispute is raised, funds are released automatically to the expert (minus Conceivr's platform fee of 15%).

Platform fee: Conceivr charges a 15% fee on all session payments. This fee is deducted from the expert's payout, not added to the amount you pay. The price you see is the price you pay.

Refunds: Refunds are issued at Conceivr's discretion following a dispute investigation. Refunds are processed back to your original payment method within 5-10 business days. To raise a dispute, contact youreach@conceivr.com within 24 hours of the session.

Paid webinars are priced by the host and processed through Korapay, a licensed payment processor. Conceivr charges a 10% platform fee on each ticket sale. Hosts receive 90% of the ticket price. The fee is deducted from the host payout, not added to the price the attendee sees.

Refund policy for webinar tickets: Ticket purchases are non-refundable unless the host cancels the webinar. If a host cancels a scheduled paid webinar, Conceivr will issue a full refund to all registered attendees within 5–10 business days. If a host fails to appear without cancelling in advance, contact youreach@conceivr.com within 24 hours of the scheduled start time to request a refund.

Host payouts: Payout to the host is processed after the session completes. Conceivr reserves the right to hold or reverse a payout if a valid refund request is received.

Host responsibilities: Any person who creates a paid webinar on Conceivr is responsible for delivering the session as described. Conceivr is not liable for the quality, accuracy, or content of any webinar hosted by a user.

Experts on Conceivr agree to: show up on time for scheduled sessions; provide honest, good-faith advice within their area of expertise; maintain confidentiality about information shared by founders during sessions; not solicit founders for paid engagements outside the Conceivr platform; and not misrepresent their experience, credentials, or qualifications.

Experts may not use sessions to promote products, services, or investments in which they have a financial interest without disclosing that interest upfront. Experts who violate these standards may have their accounts suspended and may be liable for refunds to affected founders.

You agree not to:

• Share, solicit, or exchange personal contact information (phone numbers, WhatsApp, personal email) to arrange sessions outside the platform
• Use Conceivr to distribute spam, malware, or unsolicited commercial communications
• Scrape, reverse-engineer, or copy any part of the platform
• Impersonate any person or misrepresent your affiliation with any organization
• Upload or transmit content that is illegal, abusive, defamatory, or infringes on third-party intellectual property
• Attempt to manipulate ratings or reviews

Conceivr owns all intellectual property in the platform, including its design, codebase, branding, and content we create. You retain ownership of any content you upload or create on the platform (profiles, insights, etc.), but grant Conceivr a license to display and distribute that content as part of operating the platform.

Session recordings, if any, may only be made with explicit consent from all participants. Conceivr does not record sessions by default.

Conceivr offers an optional AI-powered live transcription feature for webinar hosts. When enabled, audio from the host's microphone is sent in short segments to Groq, our AI transcription provider, for processing using the Whisper model. By enabling transcription, the webinar host:

• Confirms they have informed all participants that AI transcription is active
• Accepts that audio segments will be processed by Groq (see Groq's privacy policy)
• Understands that transcript text may be stored as part of the webinar record

Transcription is off by default and can be stopped at any time. Conceivr does not use transcripts for advertising or share them with third parties outside of Groq as the processor.

If you have a dispute with another user or expert, contact Conceivr at youreach@conceivr.com first. We will attempt to mediate and resolve disputes within 5 business days.

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes that cannot be resolved informally will be subject to the jurisdiction of the courts of Lagos State, Nigeria.

Conceivr's liability in any dispute is limited to the amount paid for the session or service in question. Conceivr is not liable for indirect, consequential, or punitive damages.

You may delete your account at any time from your account settings. Conceivr may terminate or suspend your account immediately if you violate these Terms.

Conceivr may update these Terms from time to time. We will notify you of material changes by email and by posting a notice on the platform. Continued use of Conceivr after changes take effect means you accept the updated Terms.
